Agreement to our legal terms.

We are Dune Ventures LLC ("Company," "we," "us," "our"), a company registered in Arizona, United States.

We operate the website seekflowstate.com (the "Site"), the mobile application FlowState (the "App"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

FlowState is a cross-platform mobile application that automatically transcribes handwritten notes and voice memos and delivers them to users' preferred note-taking platforms. The app bridges the gap between analog notes and digital workflows, making offline content searchable, accessible, and seamlessly integrated with popular productivity tools.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Dune Ventures LLC, concerning your access to and use of the Services. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms from time to time. We will alert you about any changes by updating the "Last updated" date of these Legal Terms. It is your responsibility to periodically review these Legal Terms to stay informed of updates.

The Services are intended for users who are at least 13 years old. Persons under the age of 13 are not permitted to use or register for the Services.

1. OUR SERVICES

FlowState provides AI-powered transcription of handwritten notes and audio recordings, with delivery to your preferred note-taking platforms. The Services are not tailored to comply with industry-specific regulations (HIPAA, FISMA, etc.), so if your use would be subject to such laws, you may not use the Services.

2. INTELLECTUAL PROPERTY RIGHTS

Our intellectual property

We are the owner or licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks"). Our Content and Marks are protected by copyright and trademark laws and treaties worldwide. The Content and Marks are provided in or through the Services "AS IS" for your personal, non-commercial use only.

Your use of our Services

Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business use. No part of the Services, Content, or Marks may be copied, reproduced, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our express prior written permission.

If you wish to make any use of the Services, Content, or Marks other than as permitted here, please contact legal@seekflowstate.com. We reserve all rights not expressly granted to you. Any breach of these Intellectual Property Rights will constitute a material breach of our Legal Terms and your right to use our Services will terminate immediately.

Feedback

If you send us suggestions, ideas, or other feedback about the Services ("Feedback"), you grant us a non-exclusive, royalty-free, perpetual license to use that Feedback to improve the Services. This does not apply to your uploaded content — see Your Content below.

3. YOUR CONTENT

You retain full ownership of everything you upload. Your handwritten notes, audio recordings, PDFs, and the resulting transcriptions belong to you.

By using FlowState, you grant us a limited, non-exclusive license to:

  • Store your uploaded content on our servers
  • Process it using AI services to generate transcriptions
  • Deliver transcriptions to your chosen destination apps (Google Drive, Notion, OneNote, Obsidian, etc.)

This license exists solely to provide you with the Services. We do not:

  • Claim ownership of your content
  • Use your content to train AI models
  • Share your content with third parties for any purpose other than providing the Services
  • Access your content for any purpose beyond processing and delivery

You are responsible for the content you upload. By uploading content, you represent that you have the right to do so and that it does not violate any applicable law.

4. USER REPRESENTATIONS

By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information; (3) you have the legal capacity and agree to comply with these Legal Terms; (4) you are at least 13 years of age; (5) you will not access the Services through automated or non-human means; (6) you will not use the Services for any illegal or unauthorized purpose; and (7) your use of the Services will not violate any applicable law or regulation.

5. USER REGISTRATION

You may be required to register to use the Services. You are responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that we determine, in our sole discretion, are being misused.

6. SUBSCRIPTIONS AND PAYMENT

Billing and Renewal

Your subscription will continue and automatically renew unless canceled. You consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until you cancel. The length of your billing cycle is monthly.

Payment

All payments are processed through Apple (App Store), Google (Google Play), or Stripe. We do not directly handle or store your payment card information. You agree to provide current, complete, and accurate purchase and account information. All payments are in US dollars. We may change prices at any time with notice.

Credits

FlowState uses a credit system. Subscription credits reset monthly and do not roll over. Purchased credits do not expire. Credits are deducted after successful transcription.

Cancellation

You can cancel your subscription at any time by logging into your account or through your app store's subscription management. Your cancellation will take effect at the end of the current paid term. If you have questions, email us at legal@seekflowstate.com.

Fee Changes

We may, from time to time, make changes to subscription fees and will communicate any price changes to you in accordance with applicable law.

7. PROHIBITED ACTIVITIES

You may not use the Services for any purpose other than that for which we make them available. You agree not to:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services, except as permitted by law
  • Use automated systems (bots, scrapers, scripts) to access or extract data from the Services without our written permission
  • Upload or transmit viruses, malware, or other harmful material
  • Upload illegal, defamatory, or infringing content
  • Circumvent, disable, or interfere with security features of the Services
  • Interfere with or create an undue burden on the Services or connected networks
  • Attempt to impersonate another user or person
  • Use the Services in a manner inconsistent with any applicable laws or regulations
  • Use the Services to compete with us or for any unauthorized commercial purpose

8. THIRD-PARTY SERVICES AND CONTENT

FlowState integrates with third-party services (Google Drive, Notion, OneNote, Obsidian) to deliver your transcriptions. By connecting these services, you represent that you are entitled to grant us access to your accounts with those providers. You can disconnect these integrations at any time from within the app.

The Services may contain links to third-party websites or content. We are not responsible for third-party services, websites, or content and do not endorse them. You access them at your own risk.

9. PRIVACY POLICY

We care about data privacy and security. Please review our Privacy Policy: seekflowstate.com/privacy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. The Services are hosted in the United States. If you access the Services from another region, you consent to the transfer and processing of your data in the United States.

10. TERM AND TERMINATION

These Legal Terms remain in full force while you use the Services. We reserve the right to deny access to the Services to any person for any reason, including for breach of these Legal Terms or applicable law. We may terminate your account and delete your content at any time, without warning, in our sole discretion.

If we terminate or suspend your account for any reason, you are prohibited from registering a new account under your name or a third party's name. In addition to termination, we reserve the right to take appropriate legal action.

11. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Services at any time without notice. We are not obligated to update any information on the Services. We will not be liable for any modification, price change, suspension, or discontinuance of the Services. The Services may experience downtime for maintenance or other reasons, and we are not liable for any loss or inconvenience caused by such downtime.

12. GOVERNING LAW

These Legal Terms are governed by and construed in accordance with the laws of the State of Arizona, without regard to conflict of law principles.

13. DISPUTE RESOLUTION

Informal Resolution

Before filing any formal proceeding, you agree to first contact us at legal@seekflowstate.com and attempt to resolve the dispute informally for at least thirty (30) days.

Jurisdiction

Any dispute arising from these Legal Terms or the Services that cannot be resolved informally shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona. You consent to the personal jurisdiction of these courts.

14. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that transcriptions will be 100% accurate.

15. LIMITATIONS OF LIABILITY

In no event will we or our directors, employees, or agents be liable to you or any third party for any indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, or loss of data, arising from your use of the Services, even if advised of the possibility of such damages. Our total liability to you will not exceed the amount paid by you to us during the six (6) months prior to the cause of action arising. Some jurisdictions do not allow certain limitations; in those cases, the limitations may not apply to you.

16. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless (including our subsidiaries, affiliates, officers, agents, partners, and employees) from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Services, your breach of these Legal Terms, or your violation of the rights of a third party.

17. MISCELLANEOUS

These Legal Terms and any policies posted by us on the Services constitute the entire agreement between you and us. Our failure to exercise or enforce any right or provision shall not operate as a waiver. These Legal Terms operate to the fullest extent permissible by law. We may assign our rights and obligations to others at any time. If any provision is determined to be unlawful, void, or unenforceable, that provision is deemed severable and does not affect any remaining provisions. There is no joint venture, partnership, employment, or agency relationship created between you and us as a result of these Legal Terms.
